TERMS OF SERVICE

Welcome to inSnap! These Terms of Use ("Terms") govern your use of the inSnap mobile application and website (collectively, "inSnap"). By accessing or using inSnap, you accept and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use inSnap.

inSnap is owned and operated by inSnap Technology, Inc. ("inSnap," "we," "us," or "our"). We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will post the revised Terms on inSnap and update the "Last Updated" date at the top of these Terms. By continuing to access or use inSnap after we have posted the revised Terms, you indicate that you accept and agree to the revised Terms. If the revised Terms are not acceptable to you, your only recourse is to stop using inSnap.

1. ACCEPTANCE OF TERMS

By creating an account, accessing, or using inSnap, you affirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific features, products, or services we offer. If you are using inSnap on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. ACCOUNT REGISTRATION AND SECURITY

To use certain features of inSnap, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. PURCHASES AND SUBSCRIPTIONS

inSnap may offer certain products or services for purchase, including subscriptions. By making a purchase, you agree to pay the specified price for the product or service. All purchases are final and non-refundable, except as required by law.

If you purchase a subscription, it will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You can cancel your subscription through your account settings or by contacting us.

4. VIRTUAL CURRENCY

inSnap may offer virtual currency ("Coins") that can be purchased with real money or earned through activities on inSnap. Coins have no cash value and cannot be redeemed for cash. Coins are non-transferable and may only be used within inSnap.

We reserve the right to manage, regulate, control, modify, or eliminate Coins at any time, including taking actions that may impact the perceived value or purchase price of Coins. We have no liability to you or any third party for exercising these rights.

5. USER-GENERATED CONTENT

inSnap may allow you to create, upload, post, send, receive, and store content, including messages, text, photos, videos, and audio ("User Content"). You retain all rights in and to your User Content, and you grant inSnap a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content for the purposes of operating and providing inSnap to you and other users.

You represent and warrant that: (1) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to inSnap the rights in your User Content as contemplated by these Terms; and (2) your User Content, and inSnap's use of your User Content, will not infringe, misappropriate, or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

6. PROHIBITED CONTENT AND ACTIVITIES

You agree not to use inSnap to:

  • Post, upload, or share content that is illegal, fraudulent, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt inSnap, servers, or networks connected to inSnap, or disobey any requirements, procedures, policies, or regulations of networks connected to inSnap.
  • Attempt to access or search inSnap by any means other than through our publicly supported interfaces, or "scrape," "crawl," or "spider" any page, data, or portion of inSnap.
  • Use inSnap for any illegal purpose or in violation of any local, state, national, or international law.

7. INTELLECTUAL PROPERTY RIGHTS

inSnap and its content, features, and functionality are and will remain the exclusive property of inSnap and its licensors. inSnap is protected by copyright, trademark, and other laws of both the United States and foreign countries. You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, visual design elements, or concepts without express written permission from inSnap.

8. DISCLAIMER OF WARRANTIES

INSNAP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO WARRANTY IS PROVIDED THAT THE SERVICES WILL BE FREE FROM DEFECTS OR ERRORS OR THAT THE SERVICES WILL BE UNINTERRUPTED.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSNAP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE INSNAP.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless inSnap, its parent, subsidiaries, affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to inSnap; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

11. TERMINATION

We may terminate or suspend your account and bar access to inSnap immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using inSnap and/or delete your account.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of inSnap shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

13. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on inSnap. Your continued use of inSnap after such changes constitutes your acceptance of the new Terms.
